Job Description

Key Responsibilities

1. Corporate Legal & Governance

• Draft and maintain critical governance documents, including Board resolutions, Secretary’s Certificates, and corporate policies.

• Manage SEC filings, corporate housekeeping, and maintenance of all corporate records.

• Review and update internal manuals in coordination with Compliance and HR.



2. Contract Management

• Draft and review various commercial agreements: Vendor/Supplier contracts, IT/SaaS agreements, NDAs, and MOAs.

• Support the Contract Lifecycle Management (CLM) system, including version control, tracking, and renewals.

• Assist in standardizing contract templates and playbooks.



3. Data Privacy & DPO Functions

• Lead compliance with RA 10173, including handling Data Subject Access Requests (DSARs) and conducting Privacy Impact Assessments (PIAs).
